These Website Terms of Use (“Terms”) govern access to and use of the EPro Virtual Assistant Solutions (“EPro,” “we,” “us,” or “our”) website, content, forms, scheduling links, and related materials (“Site”). These Terms are aligned with our Master Services Agreement (MSA), Independent Contractor Agreement (ICA), Training Agreement, Non-Disclosure Agreement (NDA), and Privacy Policy. If you become a Client, the signed MSA governs paid services and controls in the event of conflict.
“Site” means our website, pages, forms, booking links, and content.
“Services” means our managed virtual assistant services.
“EPro Specialist” means a virtual assistant engaged by EPro as an independent contractor unless a buyout occurs.
“Client” means a customer who signs an MSA.
“User” means any visitor or person interacting with the Site.
By accessing or using the Site, you agree to these Terms.
If using on behalf of a company, you represent authority to bind that entity.
EPro operates as a managed virtual assistant agency.
Clients contract with EPro, not directly with individual Specialists (unless a formal buyout occurs).
Specialists are independent contractors of EPro.
Operational integration into client systems does not alter this structure.
You must have legal capacity to form a binding agreement.
Use of the Site must comply with applicable laws.
You agree not to:
• Attempt unauthorized access
• Scrape or harvest data
• Introduce malware
• Misrepresent identity
• Interfere with Site operation
• Violate intellectual property rights
• Use the Site for unlawful purposes
You agree to provide accurate and current information in forms and scheduling tools.
We may rely on submitted information for proposal evaluation.
Discovery calls and proposals are informational and non-binding.
Binding obligations arise only upon execution of an MSA or written order form.
Paid Services are governed exclusively by the signed MSA.
If conflict exists between these Terms and the MSA, the MSA controls.
Client-Controlled Systems:
Clients granting Specialists direct system access retain control and responsibility for those permissions.
EPro-Managed Tools:
EPro is responsible only for tools or workflows explicitly managed by EPro.
We recommend least-privilege access and secure credential sharing.
Specialists are trained under escalation-first protocols and confidentiality standards.
Where offered, EPro may support structured virtual card workflows.
Direct financial account access granted by Client remains Client-controlled.
Specialists are trained to clarify routine matters and escalate high-risk issues.
In the event of an incident, EPro follows documented containment and response procedures.
Users agree not to solicit or hire EPro Specialists outside EPro without written consent.
Buyout terms are governed by the MSA.
All Site content, branding, frameworks, and materials are owned by EPro.
Unauthorized copying or distribution is prohibited.
Non-public information shared through discussions must be treated as confidential.
Formal confidentiality obligations for paid Services are governed by the NDA and MSA.
The Site is provided “as-is” without warranties.
Content does not constitute legal, financial, or professional advice.
To the maximum extent permitted by law:
• EPro is not liable for indirect or consequential damages.
• Liability related to Site use is limited to amounts paid for Site access (if any).
Paid Service liability caps are governed by the MSA.
You agree to indemnify and hold harmless EPro from claims arising from misuse of the Site or violation of these Terms.
We may suspend or terminate Site access for violation of these Terms.
Termination of Site access does not terminate any signed MSA.
Use of the Site is also governed by our Privacy Policy.
We may update these Terms periodically.
Continued use constitutes acceptance of changes.
These Terms are governed by the laws of the Republic of the Philippines.
Disputes relating to the Site shall be brought in Philippine courts,
unless otherwise provided in a signed MSA.
Severability: If any provision is invalid, remaining provisions remain in effect.
No waiver: Failure to enforce a right is not a waiver.
Entire Agreement (Site): These Terms govern Site use only and do not replace the MSA.
